Munger, Tolles & Olson Advises the Executive Team and Founder of Silvus Technologies in its $5 Billion Sale to Motorola Solutions
Munger, Tolles & Olson is pleased to announce that it advised the executive team and founder of Silvus Technologies in its $5 billion sale to Motorola Solutions. This landmark transaction marks a significant milestone in the technology sector, combining Silvus Technologies’ innovative communication solutions with Motorola Solutions’ extensive global reach and expertise.
Silvus Technologies, a leader in advanced wireless communication systems, has been at the forefront of developing cutting-edge technologies that enhance connectivity and communication in challenging environments. The companies expect to combine their exceptional engineering teams and leverage Motorola Solutions’ market presence to reach customers worldwide.
Under the terms of the agreement, Motorola Solutions will acquire Silvus for $4.4 billion in up-front consideration, comprising approximately $4.38 billion in cash (subject to customary adjustments) and approximately $20 million in restricted stock to certain employee equity holders. Additionally, Silvus has the potential to receive an earnout of up to $600 million in the aggregate based on business performance over consecutive twelve-month periods ending in 2027 and 2028.
The transaction is expected to close in the third or fourth quarter of 2025, subject to customary closing conditions and regulatory approvals.
