Munger, Tolles & Olson client Encompass Digital Media announced on Dec. 13 that it has entered into a definitive agreement with private equity firm Court Square Capital Partners. Under the terms of the deal, Court Square will acquire a majority interest in the company from selling shareholders including Wasserstein & Co. L.P.
Encompass is a U.S.-based digital media service provider that owns and operates broadcast facilities in the U.S., U.K. and Asia. The deal will allow Encompass to continue to expand its services and geographical coverage.
“Court Square is uniquely positioned to help the company build on its achievements and continue to offer world-class services to its clients,” Wasserstein & Co. Chairman Ellis Jones stated in the press release.
Munger Tolles attorneys working on the matter include corporate attorneys Mark H. Kim, Rob B. Knauss, Katherine H. Ku and Anne H. Lee. Attorneys Judith T. Kitano and Henry E. Orren handled financing matters and David B. Goldman and Patrick G. Anderson handled tax matters. Williana H. Chang oversaw the executive compensation and employee benefits aspects of the transaction.
Munger Tolles previously represented Encompass in its $120 million acquisition of the global content distribution business of Ascent Media Corporation earlier this year.
