John Senior is a corporate attorney in the Los Angeles office of Munger, Tolles & Olson. His practice includes securities law compliance, M&A and financing transactions, investment management matters and corporate governance.
Mr. Senior represents listed and unlisted public reporting companies in meeting compliance obligations under federal and state securities laws. His experience includes equity and debt offerings, comment letter responses, requests for confidential treatment and the preparation of annual, quarterly and current reports. His transactional representations include Americold Realty Trust in the defeasance and refinancing of a $325 million CMBS pool, Air Lease Corporation in a $400 million senior notes offering and Pacific Asia Museum in its affiliation with USC.
In the investment management area, Mr. Senior represents sponsors including The Yucaipa Companies, Taiyo Pacific Partners and Himalaya Capital with respect to fund formation, disclosure, broker-dealer registration and Investment Advisers Act compliance. Mr. Senior also has experience in investment management disputes, having advised EIG Global Energy Partners in its challenge to the inclusion of a $4 billion investment fund in the sale of Trust Company of the West to the Carlyle Group.
Mr. Senior regularly provides advice on corporate governance, contracting and related matters to clients including James Campbell Company LLC and Daily Journal Corporation.
Mr. Senior maintains an active pro bono practice. He recently represented an NGO client in preparing comments to Myanmar’s draft Motion Picture Law, and he currently represents a juvenile in asylum proceedings before immigration court. Mr. Senior serves on the development committee of Chrysalis, a nonprofit organization dedicated to helping homeless and low-income individuals become self-sufficient.
Prior to attending law school, Mr. Senior served as an officer in the U.S. Foreign Service, including posts as Special Assistant to the U.S. Ambassador to the United Nations and as a U.S. negotiator in the UN Security Council.
